Terms of Service

1. Acceptance of Terms

By accessing or using the services provided by Noir Digital Group ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Noir Digital Group provides digital services including but not limited to web development, app development, and digital marketing. The specific services to be provided will be outlined in a separate agreement or statement of work between Noir Digital Group and the client.

3. Client Responsibilities

As a client of Noir Digital Group, you agree to:

• Provide accurate and complete information as required for the provision of services
• Respond to requests for information or approvals in a timely manner
• Review and provide feedback on deliverables within agreed timeframes
• Pay all fees as outlined in your agreement with us
• Comply with all applicable laws and regulations

4. Intellectual Property Rights

Upon full payment of all fees due, the client will own all rights to the final deliverables provided by Noir Digital Group, except for:

• Third-party materials incorporated into the deliverables
• Noir Digital Group's proprietary tools, processes, and methodologies
• Open-source components, which remain subject to their original licenses

Noir Digital Group retains the right to display and link to the completed project as part of our portfolio and to write about the project for promotional purposes.

5. Payment Terms

Payment terms will be specified in the agreement between Noir Digital Group and the client. Unless otherwise stated, invoices are due within 30 days of issuance. Late payments may incur interest charges and/or result in suspension of services.

6. Limitation of Liability

To the maximum extent permitted by law, Noir Digital Group shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from our services
• Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services

7. Termination

Either party may terminate the service agreement as specified in the contract between Noir Digital Group and the client. Upon termination, the client shall pay for all services rendered up to the date of termination.

8. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Kenya, without regard to its conflict of law provisions.

9. Changes to Terms

We reserve the right to modify these Terms of Service at any time. We will provide notice of significant changes by posting the new Terms of Service on our website and updating the "Last Updated" date.
